Upper Canada Court Reporting & Mediation ("UCCRM") (whether directly or indirectly) owns and operates the uppercanadacourt.com website ("UCCRM Websites" or "Site"). By using or browsing any of the UCCRM Websites, you acknowledge that you have read, understood and agree to be bound to these Terms and Conditions and all applicable laws and regulations. If you do not agree to be bound by these Terms and Conditions, then you must not use this Site. We may change these Terms and Conditions at any time and without any notice to you so we suggest that you periodically visit this page to review these Terms and Conditions. By using this Site after we post any changes, you agree to accept those changes, whether or not you actually reviewed them.

Any rights not expressly granted in the Terms and Conditions are reserved for UCCRM. UCCRM endeavours to keep information, recordings of audio safe and saved for a period of time. Whilst we endeavour to keep the information up to date and correct, UCCRM makes no representations or warranties of any kind, expressed or implied about the completeness, accuracy, reliability, suitability or availability with respect to the audio and recordings. Any reliance you place on UCCRM is therefore strictly at your own risk. UCCRM takes no responsibility for and will not be liable for audio files being temporarily unavailable due to technical issues within or beyond its control, or for any loss or damage suffered as a result of the use of, access to, or inability to use or access this audio. UCCRM has no control over and accepts no liability in respect to materials, products, audio recordings or services which are not under the control of UCCRM.
To the extent not prohibited by law, in no circumstances shall UCCRM or its shareholders, directors, officers, employees, or contractors be liable to you or any other third parties for any loss or damage (including, without limitation, damage for loss of business or loss of profits) arising directly or indirectly from your use of or inability to use any of the services provided by UCCRM. Whilst precautions are taken to ensure security of files, audio recordings, UCCRM cannot guarantee that audios are kept, not erased and or secure. Users of UCCRM services will not hold UCCRM or its shareholders, directors, officers, employees, or contractors liable for any loss or damage which may occur as a result of any virus, loss or breach of security.
Indemnification
You agree to indemnify and hold harmless UCCRM from any third party claim, action, demand, loss or damages (including legal fees and costs) arising out of or relating to your violation of these Terms and Conditions, your use of the Site or your violation of any rights of a third party.
Remedies for Violations
UCCRM reserves the right to seek all remedies available at law and in equity for violations of these Terms and Conditions, including but not limited to the right to block access from a particular IP address.
Feedback and Other Suggestions
All feedback, ideas and other suggestions submitted by you through this Site will be treated as non-confidential and non-proprietary and may be disclosed or used by UCCRM for any purpose whatsoever, without any obligation to compensate you. All personal data provided to UCCRM will be handled in accordance with our Privacy Policy.
Applicable Laws — Exclusive Jurisdiction
This Site and the Contents are displayed solely for the purpose of promoting UCCRM's services available in Canada. This Site is controlled and operated by UCCRM from its offices in Richmond Hill, Ontario. You are responsible for complying with the laws of the jurisdiction from which you are accessing this Site, and you agree that you will not access or use the information on this Site in violation of such laws. These Terms and Conditions and your use of this Site will be governed by the laws of the Province of Ontario, without regard to any conflict of law provision. You agree to submit to personal jurisdiction in Richmond Hill, Ontario and that any cause of action arising under these Terms and Conditions will be tried and litigated exclusively in the provincial and/or federal courts located in Ontario, Canada.
Dispute Resolution
Any claim or controversy related to these Terms and Conditions or relating to this Site will be settled by arbitration in accordance with the then-current laws of Ontario, Canada. The location of the arbitration will be in Ontario, Canada. The decision of the arbitrator will be binding on the parties. To the fullest extent permitted by applicable law, no arbitration will be joined to an arbitration involving any other party subject to these Terms and Conditions, whether through class arbitration proceedings or otherwise.
Booking Cancellation Policy
If your confirmed booking is cancelled with less than one (1) business day's notice, a cancellation fee will be charged. This fee will be based on the booking and the estimated total charges for food & beverage and meeting space revenue.
Boardroom rental will be charged in full unless cancellation is received in writing at least one (1) business day in advance. Upper Canada Court Reporting will make every reasonable effort to resell cancelled space. Should we be successful at reselling cancelled space, a sum equal to the value of the rooms resold will be credited to your booking.
Miscellaneous
If there is a determination that any provision of these Terms and Conditions is invalid or unenforceable, that determination will not affect the rest of these Terms and Conditions. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Site or under these Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in these Terms and Conditions are for convenience only and have no legal or contractual effect.
